HASKART CONSULTANT/PROVIDER AGREEMENT

This Consultant/Provider Agreement (“Agreement”) governs the relationship between Haskart Sdn Bhd (“Haskart”, “We”, “Us”, “Our”) and the individual or entity applying to list and provide nonclinical wellness services through the Haskart platform (each a “Consultant/Provider”, “You”).

By registering as a Consultant/Provider on Haskart, You agree to the terms below.

Definitions

For the purposes of this Agreement:

  • “Consultant/Provider” means any individual or entity accepted by Haskart to offer nonclinical wellness services through the platform.
  • “Individual Contributor” means a Consultant/Provider who is an individual person offering services on their own name.
  • “Wellness Centre” means a Consultant/Provider that is a business entity operating a centre, premise, or brand and may engage staff and/or Individual Contributors.
  • “Users” means end-customers booking or purchasing services through the Haskart platform.

Where a clause applies only to Individual Contributors or only to Wellness Centres, this will be stated clearly.

1. Role of Haskart

1.1 Haskart is a nonclinical wellness booking/appointment platform. We provide digital tools for:

  • Listing and discovery of nonclinical wellness services
  • Virtual nonclinical wellness session Booking/Appointments (video/voice)
  • In-person 1-to-1 wellness service Booking/Appointments
  • Consultant/Provider visibility and discovery
  • Secure communication and scheduling
  • Payment processing and settlement

1.2 Haskart does not provide wellness services. All services are delivered solely by You, the Consultant/Provider (including your staff or affiliated practitioners, where applicable).

1.3 You act as an independent Consultant/Provider. Nothing in this Agreement creates an employment, partnership, franchise, agency, or joint venture relationship between You and Haskart.

2. Eligibility and onboarding

2.1 All Consultant/Providers must undergo manual verification by Haskart Admin before activation.

2.2 You must provide accurate and truthful information, including (as applicable):

  • For Individual Contributors:
    • Identity documents
    • Professional background
    • Service descriptions
    • Centre affiliation (if representing or attached to a Wellness Centre)
  • For Wellness Centres:
    • Business registration documents
    • Centre address and contact details
    • Service menu and pricing
    • Staff qualifications (where applicable)
    • Operating hours

2.3 Haskart reserves the right to:

  • Approve or reject any application
  • Request additional documents or clarifications
  • Suspend or terminate Consultant/Provider access for noncompliance, suspected fraud, or violation of this Agreement

3. Scope of services

3.1 Consultant/Providers may offer, subject to Haskart’s approval:

  • Virtual nonclinical wellness sessions (video/voice)
  • In-person 1-to-1 nonclinical wellness services such as massage, spa, beauty, bodywork, grooming, coaching, or other wellness categories approved by Haskart

3.2 Prohibited activities. You must not:

  • Provide medical, clinical, diagnostic, or therapeutic services
  • Claim to treat, cure, or diagnose medical conditions
  • Offer services that require MOH/MMC or similar licensing or regulatory approvals
  • Present Your services as medical treatment or clinical intervention

3.3 Legal and policy compliance. All services must comply with applicable Malaysian laws and Haskart’s nonclinical wellness guidelines, policies, and platform rules as updated from time to time.

4. Consultant/Provider responsibilities

You agree to:

  • Service information: Provide accurate, complete, and up-to-date service descriptions and pricing.
  • Booking/Appointments: Honour confirmed Booking/Appointments and start sessions on time.
  • Environment: Maintain a safe, respectful, and professional environment for Users (including physical premises where applicable).
  • Conduct: Communicate professionally with Users and Haskart; avoid any form of harassment or pressure.
  • Availability: Keep Your availability and operating hours updated on the Platform.
  • Changes: Notify Haskart promptly of cancellations, schedule changes, or service disruptions.
  • Confidentiality: Maintain confidentiality of User information accessible through the Platform.
  • Compliance: Comply with PDPA and Haskart’s Privacy Policy and all applicable laws.

You must not:

  • Request or encourage Users to make off-platform bookings or payments
  • Request or share personal contact details with Users for off-platform services, except as required to deliver the booking in compliance with Haskart processes
  • Harass, pressure, or solicit Users in an unwanted or unethical manner
  • Engage in unsafe, inappropriate, or unethical behaviour, whether virtual or in-person

4.1 Additional responsibilities for Wellness Centres

If You are a Wellness Centre, You additionally agree to:

  • Ensure Your physical premises are safe, clean, and professionally maintained
  • Ensure all staff and practitioners engaged by You behave respectfully, ethically, and in accordance with this Agreement and applicable laws
  • Ensure that only qualified staff provide services listed on the Platform, as described
  • Take full responsibility for the actions and omissions of Your staff and any Individual Contributors offering services under Your brand or premises

5. Booking/Appointment and cancellation

5.1 Users may cancel or reschedule Booking/Appointments in accordance with Haskart’s Booking/Appointment & Cancellation Policy as published on the Platform and updated from time to time.

5.2 Consultant/Providers must:

  • Accept cancellations or reschedules initiated by Users as permitted under the Booking/Appointment & Cancellation Policy
  • Avoid excessive cancellations or last-minute changes
  • Provide advance notice via the Platform when unavailable or when services need to be blocked or rescheduled

5.3 Repeated last-minute cancellations, no-shows, or schedule mismanagement by You may result in suspension or termination of Your Consultant/Provider account.

6. Payments and commissions

6.1 All payments related to services booked through Haskart are processed through the Platform.

6.2 Payment flow:

  • User pays through the Platform
  • Haskart receives the payment as a collecting agent/processor
  • Platform commissions and applicable fees are deducted
  • The remaining balance is transferred to You in accordance with Haskart’s settlement processes

6.3 You must not request direct payments from Users for services booked through the Platform, nor circumvent the Platform’s payment flow.

6.4 Settlement timelines, minimum payout thresholds, and payout methods will be communicated by Haskart and may be updated from time to time. Haskart may withhold payouts temporarily if fraud, chargebacks, or policy violations are suspected.

7. Safety, conduct, and boundaries

Consultant/Providers must:

  • Maintain a respectful, non-judgmental environment (whether virtual or in-person)
  • Respect User boundaries at all times
  • Avoid any physical, emotional, or verbal misconduct
  • Follow appropriate safety and hygiene standards for in-person sessions
  • Comply with all applicable laws, including those relating to safety, harassment, and discrimination

Any serious misconduct may result in immediate suspension or termination from the Platform and, where required, reporting to relevant authorities.

7.1 Staff conduct for Wellness Centres

If You are a Wellness Centre, You must ensure that all staff and practitioners:

  • Maintain professional and appropriate behaviour at all times
  • Respect User boundaries and obtain consent for any physical interaction
  • Follow Your internal safety and hygiene protocols and all relevant regulations
  • Do not engage in any inappropriate physical, verbal, or suggestive conduct

You are solely responsible for training, supervising, and managing Your staff.

8. Content and intellectual property

8.1 Consultant/Providers may upload or submit content to the Platform, including:

  • Profile photos
  • Centre photos
  • Service descriptions and menus
  • Staff or practitioner profiles
  • Session materials or promotional content

8.2 By uploading or submitting content, You grant Haskart a nonexclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content:

  • On the Platform
  • In marketing, promotional materials, and social media
  • For search, discovery, and recommendation features

8.3 You retain ownership of Your content. You represent and warrant that You have the rights to use and license any content You upload and that such content does not infringe the rights of any third party.

9. Data protection

9.1 Consultant/Providers must comply with Haskart’s Privacy Policy and the Personal Data Protection Act 2010 (PDPA) and any other applicable data protection laws.

9.2 You must not:

  • Store User data obtained from Haskart outside the Platform except where strictly necessary to fulfil a Booking/Appointment and in compliance with law
  • Share User data with third parties unless required by law and with appropriate safeguards
  • Use User data for purposes unrelated to the services booked through Haskart or without User consent where required

9.3 Any actual or suspected data breach or unauthorised access to User information must be reported to Haskart immediately, with relevant details to allow Haskart to assess and respond.

10. Suspension and termination

Haskart may suspend or terminate Your access to the Platform, or certain features, if:

  • You violate this Agreement, Haskart policies, or applicable laws
  • Misconduct, unsafe, or inappropriate behaviour is reported or reasonably suspected
  • Fraud, misrepresentation, or suspicious activity occurs
  • Legal or regulatory requirements demand it

You may request closure of Your Consultant/Provider account at any time by contacting Haskart. Closure will not affect rights or obligations that have already accrued (for example, existing bookings, amounts due, or ongoing investigations).

11. Limitation of liability

To the fullest extent permitted by law:

  • Haskart is not liable for service outcomes, User behaviour, or any losses arising from Your actions or omissions.
  • Haskart is not party to the contract between You and the User for the provision of services and is not responsible for any disputes between You and Users.
  • You are fully responsible for the services You provide, including any acts or omissions of Your staff, associated practitioners, or contractors.

Nothing in this Agreement limits liability where such limitation is prohibited by law.

12. Governing law and disputes

This Agreement is governed by the laws of Malaysia.

Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
